• Monitor legal agreements with key stakeholders (including tenants, developers and shareholders).
• Engage external counsel, including preparing and negotiating engagement arrangements. Manage work product of external counsel.
• Take a leading interest in the management of the business resources and budget allocation for the business’s legal activity.
• Liaise with government departments.
• Prepare and implement template agreements for routine legal interactions to increase efficiencies in the organisation.
• Monitor the Group’s compliance with applicable regulations and laws, and update to Group periodically on changes to such regulations and laws.
• Draft, review and negotiate the Group’s legal arrangements, including, but not limited to: leases, project contracts (FIDIC), JV agreements, sale and acquisition agreements, services contracts and settlement agreements.
• Provide strategic advice to senior management team.
• Perform all company secretarial duties including updating constitutional documents, drafting director/board appointments and resignations, obtaining licence renewals and updating group records accordingly.
• Monitor legal arrangements between members of the wider group, including affiliate companies.
• Assess governance needs and roll out updates to governance policies and training on an as required basis.
• Monitor the use of the Group’s freehold land in compliance with applicable regulations
• Schedule and prepare for board meetings, including preparing board packs and liaising with Board members.
• Monitor and analyse known/existing legal risks and implications and work with senior management to agree strategies for the mitigation of such risk(s), including potential disputes with third parties.
• Initiate, and defend, formal legal proceedings. Consider and advise on the merits of initiating formal legal proceedings, and alternative mechanisms for settling any such dispute(s).
