Senior Legal Manager

1. Contracts drafting & review:

• You will collaborate with local business leaders (Business Development, Project Finance and Construction) as well as with supporting areas (Finance, Admin, Accounting & HR) advising on legal risks, business strategies and other issues related to the Company’s businesses.
• Review all types of contracts including but not limited to: Distribution, franchise, contracting, project financing, IT etc..

2. Litigation and Arbitration

• Supervise legal cases filed by, and against the Group, review and comments on litigation memos prepared by external counsels.
• Provide legal opinion about all existing and potential liabilities related to the Group’s Court cases/disputes. Reviews, drafts and amends settlement agreements related to Disputes and other agreements/contracts in Arabic and English.
• Liaise with External lawyers and seek updated on the Group’s cases.

3. Interaction with Government Departments

• Have good knowledge of the procedures followed by the local authorities in relation to (without limitation): notarization of documents, registration of contracts, etc…

4. Policies and procedures and standardized documentation

• Develop legal policies, plans and procedures such as templates contracts and other standardized documentation.
• Provide advice on corporate compliance and governance with all statutory and governmental statutes and requirements in order to protect the Group interests.

5. Incorporation of new companies and maintaining Group companies’ registers and POAs

• Great experience in drafting all corporate documents and POAs in both English and Arabic.

6. Laws and regulations:

• Excellent knowledge of the UAE laws and regulations.

SKILLS, EXPERIENCE AND QUALIFICATION:

• Holder of law degree with a master’s in law.
• Minimum 10 years of experience out of which considerable experience as in-house Legal Counsel in a company (preferably family business) in the UAE.
• Good exposure in dealing with Senior management and BOD.
• UAE experience in Corporate, commercial, Litigation and Construction
• Bilingual (fluent in English & Arabic)
• Good interpersonal skills and strong personality
