Job Description

Roles and responsibilities

  • Be a trusted advisor to the Siemens Healthcare UAE with respect to legal matters
  • Provides strategic and operational guidance and contributes to the strategy and implementation of the Siemens Healthineers business in the UAE and Zone MEA (with focus on indirect markets)
  • Mitigates legal risks and help business in the mitigation of commercial risks
  • Legal key account for in-vitro business and indirect distribution business
  • Support implementation of data privacy regulations in key countries (legal governance), in close collaboration with the Data Privacy Officer
  • Implement and perform key legal processes such as drafting, negotiating and settling commercial agreements, risk assessment and approval processes and where appropriate liaising with other members of the global Legal function
  • Provides training and education to the business on relevant laws and business legal issues including Compliance relevant topics
  • Assume special tasks/ project assigned by the Head of Legal & Compliance MEA
  • Informs the Head of Legal & Compliance Zone MEA, the General Counsel EMEA (Europe, Middle East and Africa) and the management of areas which represent a legal or reputational risk
  • Be comfortable as a challenger to the management and to the business when appropriate
  • Works collaboratively with Siemens Healthineers global legal network and drive legal Zone-Initiatives in the area of digitalization, efficiency and knowledge management
  • Lives core values such as integrity, respect and reliability, and the Healthineers principles and values
  • Readiness to travel occasionally within UAE or to other MEA countries

Your qualifications and experience:

  • Lawyers’ degree from well-recognized jurisdiction
  • A minimum of 4-8 years PQE either in a reputable law firm or as in-house legal counsel in multinational company
  • Relevant work experience in the Healthcare- and/or life science/ pharma sector with strong focus on contract law for supply and service transactions, distributorship agreements, public procurement, as well as collaboration and research agreements is highly appreciated
  • Knowledge of data privacy
  • Ability to familiarize oneself with new legal fields impacting the Siemens Healthineers business
  • Strong drafting and negotiation skills
  • Excellent communication in English
  • Ability to effectively manage multiple tasks and to set the right priorities
  • Be pragmatic and hands on, supporting digitalization and process efficiency measures
  • Excellent business acumen, gravitas and credibility

Desired candidate profile

1. Legal Knowledge and Expertise

  • Contract law: Advising on the creation, negotiation, and enforcement of contracts, ensuring that agreements are legally binding and favorable to the organization.
  • Corporate law: Providing legal guidance on company formation, governance, compliance, mergers, acquisitions, joint ventures, and general corporate activities.
  • Litigation and dispute resolution: Representing or advising on legal disputes, managing litigation, and exploring settlement or alternative dispute resolution options (e.g., arbitration or mediation).
  • Employment law: Advising on employment-related matters, including employee rights, workplace policies, compliance with labor laws, and dispute resolution.
  • Intellectual property (IP): Providing counsel on patent, trademark, copyright, and trade secret protection, licensing agreements, and IP litigation.
  • Regulatory compliance: Ensuring the organization complies with industry-specific regulations and national/international laws (e.g., financial services regulations, data protection laws).
  • Data privacy and security: Ensuring compliance with laws related to data privacy (e.g., GDPR, CCPA) and cybersecurity practices, protecting the organization’s data assets.

2. Risk Management and Mitigation

  • Identifying risks: Assessing potential legal risks related to business activities, transactions, and operations, and advising the organization on how to mitigate those risks.
  • Risk assessments: Conducting risk assessments to evaluate legal, financial, and reputational risks and suggesting strategies to minimize exposure.
  • Insurance and liability: Advising on insurance needs, liability exposure, and strategies to limit the organization’s legal risk in various areas of operation.

3. Contract Negotiation and Drafting

  • Contract drafting: Writing and reviewing contracts to ensure they are clear, precise, and legally enforceable, protecting the organization's interests.
  • Negotiating terms: Leading or supporting contract negotiations to ensure terms are favorable to the organization while maintaining positive relationships with partners and vendors.
  • Reviewing agreements: Analyzing and interpreting complex contracts to identify potential issues or improvements, advising internal stakeholders accordingly.

4. Legal Compliance and Regulatory Issues

  • Staying current with laws: Continuously staying up-to-date with changes in laws and regulations that may affect the organization, including both national and international legal environments.
  • Ensuring compliance: Ensuring the company adheres to all relevant legal and regulatory requirements across all jurisdictions in which it operates.
  • Internal policies: Developing, implementing, and updating internal policies and procedures to align with legal and regulatory requirements (e.g., anti-corruption policies, internal code of conduct).
  • Corporate governance: Advising on corporate governance practices, including board and shareholder issues, ensuring compliance with governance codes and regulations.

5. Dispute Resolution and Litigation Management

  • Managing litigation: Representing the company or working with external legal teams to handle disputes and litigation effectively, managing case strategies and outcomes.
  • Alternative dispute resolution: Identifying opportunities for resolving disputes outside the courtroom, through methods such as mediation, arbitration, or settlement negotiations.
  • Settlement negotiations: Leading or advising on settlement negotiations to resolve disputes efficiently and avoid costly, protracted litigation.

6. Transactional Support

  • Mergers and acquisitions (M&A): Advising on legal matters related to mergers, acquisitions, and divestitures, conducting due diligence, and drafting related agreements.
  • Financial transactions: Advising on securities law, financing arrangements, and capital raising activities, ensuring that the company's financial transactions comply with legal standards.
  • Joint ventures and partnerships: Drafting and negotiating joint venture agreements, partnership contracts, and other business arrangements that align with the company’s interests.

7. Corporate Strategy and Decision Support

  • Business strategy advice: Providing legal input on strategic business decisions, advising on the legal implications of business actions and helping to develop strategies that minimize risk and align with legal requirements.
  • Due diligence: Conducting or assisting with due diligence in corporate transactions, such as acquisitions, investments, or partnerships, to identify potential legal issues or liabilities.
  • Corporate structuring: Advising on the best legal structure for business operations, helping the company make decisions about subsidiaries, parent companies, and other organizational forms.
