Job Description

Group Legal Advisor
Job Description


  • Direct and manage all legal activities across the Group and provide specialist and expert legal and commercial advice the Vice Chairman & CEO and the Executive Management team.
  • Coordinate with GMs and other Senior members of the Subholding companies.
  • Ensure that Dubai Investments Group is operating in compliance with applicable laws guidelines and regulations.
  • Represent the Dubai Investments in the resolution of legal issues that impact the Group situation.

Responsibilities

MANAGERIAL RESPONSIBILITIES
  • Provide direction and manage all legal staff in performing their delegated tasks.
  • Set standards and performance measures. Conduct performance appraisals as per HR policy
  • Ensure that all legal staff acquires required skillsets knowledge and certifications through appropriate training and professional development programs (in coordination with the Human Resources and Administration). Coach and counsel them as required. Encourage good communication by subordinates among all levels of staff.
  • Monitor progress of all projects in legal department through project status meetings project tracking reports measurement and analysis meetings etc.

ORGANIZATIONAL RESPONSIBILITIES
  • Develop divisions plans and operational budget.
  • Contribute to the development and execution of the divisions objectives and ensure alignment with the Group strategy.
  • Provide inputs towards the development of the divisions policies and procedures and ensure that they are properly implemented.
  • Prepare half yearly reports on the departments results outlining achievements versus plans challenges faced and suggestions for improvements.

FUNCTIONAL RESPONSIBILITIES
  • Effectively deal with legal and commercial aspects of various businesses of the Group as well as contracts and legal documents etc.
  • Providing legal advice on various legal issues like commercial contracts dispute resolution funding agreements regulatory employment laws and governance matters.
  • Drafting vetting negotiating and finalizing various documents such as NonDisclosure Agreements Land Lease Agreements Facility Agreements Joint Venture Agreements Agency Agreements Power of Attorney Sale/Acquisition of business Engineering and Construction Agreements for buildings and facilities Supplier contracts etc.
  • Advising on how to ensure minimal liability and legal exposure for the business of the Group.
  • Taking decisive actions on various legal matters and advising management on such issues.
  • Assessing and advising effectively to minimize and control risks and compliance issues as applicable to the legal function relating to Group companies and ensuring that the system controls and processes are appropriate as relevant.
  • Advising and ensuring that the relevant businesses are carried out in compliance with the necessities of legislation involving data protection intellectual property matters etc.
  • Supervising researching and analyzing implication of case law legislation and regulatory matters that affect the company and reporting them back to Vice Chairman/CEO.
  • Communicate brief and coordinate with lawyers advocates consultants in matters related to the Groups activities and put forth strongly our view points/perspective so that they are adequately reflected in the replies/ statements/ submissions/documents etc.
  • Coordinate with various Governmental departments and authorities both locally and in various countries of operations.
  • Liaise where necessary with Banks and Financial Institutions in connection with documentation for obtaining credit financing dealing with security documentation conditions precedents and concluding the financial structuring/legal structuring for enabling the credit facilities to be made available.
  • Coordinate and research commercial solutions with regard to legal structures for new companies/ businesses initiated in different country jurisdictions keeping in view the tax implications for the same and in that connection incorporate limited liability companies/ special purpose vehicles etc.
  • Comply with statutory requirements of company registrations joint ventures renewals changes to Memorandum and Articles of Association in UAE and different countries;
  • Advise the Management and Senior executives departments/ units generally about the laws relating to the business particularly commercial laws intellectual property civil and criminal laws etc.
  • Perform any other duties as requested by the direct manager.

Qualifications


  • Masters Degree in Law.
  • Minimum 20 years in a well diversified Group of Companies of good repute.
