Role overview
To provide support and assistance at the Affiliate Level in the provision of legal services and the dispensation of legal advice to the Affiliate with such other responsibilities as shall be delegated by the Legal Counsel from time to time.
Accountabilities
A - BASIC FUNCTIONS
Handling legal related issues for the Company.
Handling legal matters and attend to routine legal queries arising from the various Company
departments.
Handling Legal Regulatory compliance assignments for the various Company departments.
Handling employee related legal issues in consultation with the Company s Human Resource
Department.
Provide legal opinions and guidance to the various business lines.
B- PRINCIPAL ACCOUNTABILITIES
Draft and review various commercial legal agreements between the Company and various partners.
Carry out legal research involving the Company in relation to government regulatory policies, safety aspects, conveyance and commercial matters, and all other business aspects to ensure full compliance
with the relevant laws.
Management of the Company s debt portfolio comprising, debt collection, recovery procedures and set
up of payment plans for the company s tenants and trade debtors in liaison with the various business
line managers.
Management of the Company s litigation portfolio including management, in liaison with external
lawyers of any litigation matters involving the organization with regard to both civil and criminal matters
and assist in conducting pretrial meetings with witnesses.
Reporting to and actioning the Company s stewardship committee decisions as related to the law
department including Audit and Controls Committee, and Credit Committee)
Attend and represent the Company in inter- oil Company forums involving drafting Industry
Agreements.
Attend to routine legal queries arising from the various business lines and from external parties to the
organization.
Negotiate legal fees with outside counsel and review of fee notes.
Creation and stewardship of a legal and regulatory compliance manual.
Review of all company securities and commercial related documents relating to the company (e.g.
Charge & mortgage documents, leases, loan agreement, sale agreements etc).
Manage the stewardship of the Company s legal panel to ensure up to date information on all litigious
matters regarding the Company.
Stewardship, in liaison with external lawyers, any intellectual property matters involving the
organization.
Review guarantees received from various customers and advise the Accounts and Finance Department
on whether they conform to Company requirements.
To assist and provide legal support to Special Projects as and when necessary, as delegated by the Legal
Counsel.
To represent the Legal Department as the departmental risk champion.
Skills and Qualifications
Academic Qualifications
University Degree in LAW
Diploma in Law (Kenya School of Law)
An Advocate of the High Court of Kenya with a Current practice certificate
Practicing Company Secretary (will be an added advantage)
Professional Experience
At least 5 years post-qualification experience in a busy law firm or corporate body.
Demonstrate strong basic written and oral communication skills and attention to detail.
Exceptional drafting and negotiation skills.
Experience in complex commercial transactions and commercial litigation
Focused, capacity to deliver in high-pressure situations
