Job Description

KEY RESPONISBILITIES

Legal Support to Business across Value Chain

  • Responsible for drafting negotiating preparing and managing the contracts to be executed across the value chain from proposal to completion of projects including partnerships and supply chain
  • Work closely with operational functions and help in elaborating relevant contractual solutions and identifying contractual legal and compliance stakes so that risks are detected measured and mitigated
  • In compliance with Group policy and in close liaison with Legal & Contracts Director the Job Holder will interface with external counsels and law firms for analysis and management of specific legal issues in the framework of complex contractual and/or legal arrangements
  • Provide legal guidance advise and promote legal awareness across his perimeter
  • Manage Resolution of Disputes and Litigation relying on local law firms and in coordination with and under authority of Corporate Dispute Resolution & Litigation Legal Department

Contracts Management (support bids projects and procurement)

Support to Projects

  • Ensuring members of the Project team are fully briefed on all material elements of the contract
  • Administration of the contract baseline during the project
  • Monitoring and interpretation of contractual obligations during the project
  • Managing changes to the contract baseline
  • Management of contractual disagreements arising
  • Ensuring all contractual obligations are completed before project closure
  • Identification and evaluation of the risks and opportunities related to the various contractual obligations including recommending the appropriate level of contractual contingencies
  • Management of the risks and risks register throughout the project life cycle
  • Identification and management of amendment opportunities throughout the project life cycle
  • Organize Change Control meetings
  • Lead the process for changes and establish Change Control process
  • Lead the Variations preparation process
  • Establish the official templates and correspondence flow
  • Responsible for all correspondence (in/out)
  • Coordinate all the claims towards the customer Partners and subcontractors
  • Build and follow up of the Companys claims and defend the Company against all claims

Support to Bids / Variations

  • Identify analyze manage and reduce the main contractual risks while optimizing contractual opportunities in bids and projects support contractual analysis Interpretation documentation claims disputes on both sales side and supply side
  • Ensure rights are protected and the undertaken obligations are adhered to all throughout the performance of the contractual commitments by involvement in bids/projects coherent methodology proper staffing and adequate skilling
  • Ensure control and mitigation of contractual conditions and NonTechnical risks applying lessons learnt from previous projects in bid phase to provide operational legal solutions
  • Establish the integrated baseline (Cost Schedule Technical Performance T&Cs etc)
  • Manage formal clarification process related to T&Cs with bid teams to update and reflect them in the Legal analysis and memos
  • Prepare input for all GATEs and check the exhaustiveness and the validity of the GATE documents for contract signature by the authorized management
  • Manage contract management activities for transition between Bid and Project with particular focus on conditions for contract to come into force (Site take over Advance Payment Work Permits Guarantees etc)
  • Provide country legal intelligence and knowledge to the Legal Units exporting to the country
  • Provide Analysis and review of customer nontechnical requirements
  • Understanding with the help of the technical team key elements of the customers technical requirements and of the Companys proposed solution including its deliverability
  • Checking all nontechnical elements of the solution proposed and the dependencies required for its delivery
  • Supporting the Capture/Bid team in negotiations with the customer
  • Supporting the Purchasing Department in negotiations with key suppliers and subcontractors by ensuring appropriate flowdown of terms and conditions to the supply chain
  • Ensure contractual consistency with cocontractor(s) if relevant
  • Development of the Contract Baseline

KEY QUALIFICATION AND EXPERIENCE

  • Bachelor or Master Degree in laws (Private Law Commercial Law Corporate Law) or in Business administration Engineering Project Management or similar
  • years of relevant experience in Inhouse Legal contracts and commercial management in international environment with exposure to FIDIC contracts Public Procurement contracts Corporate Laws and Trade compliance
  • Practical experience in various legal systems and Laws Civil Law and Common law and comparative legal practices and exposure to Middle East legal environment
