Job Description Legal Counsel
Organization Type: Sovereign Wealth Fund
Role Overview
The Legal Counsel will play an integral role in providing legal support across the organizations investment and corporate activities. The position involves working closely with internal stakeholders and external counsel to ensure transactions and operations are executed in full compliance with applicable laws regulations and internal policies. The role offers exposure to a broad range of matters spanning investments corporate governance regulatory affairs and commercial contracts.
Key Responsibilities
- Provide legal advice and support on investment transactions (private equity public markets real estate infrastructure and strategic partnerships).
- Draft review and negotiate a wide range of legal documents including NDAs term sheets shareholder agreements SPAs and service contracts.
- Support deal execution by coordinating with investment teams advisors and external counsel. Advise on corporate governance compliance frameworks and regulatory matters relevant to the Funds domestic and international operations.
- Conduct legal due diligence and risk assessments for potential investments and projects.
- Assist in managing relationships with external legal advisors and monitoring service quality and cost-effectiveness.
- Provide legal input on internal policies board papers and organizational procedures to ensure alignment with applicable laws and best practices.
- Monitor regulatory developments impacting the Funds operations and propose appropriate responses or mitigation.
Requirements
Qualifications & Experience
- Bachelors degree in Law (LLB) or equivalent; a Masters degree or LLM from a recognized institution is an advantage.
- Minimum of 6 years of post-qualification experience ideally gained at a reputable law firm or in-house legal department within the investment financial services or government sector.
- Strong knowledge of corporate commercial and investment law.
- Experience working on cross-border transactions and familiarity with international legal frameworks preferred.
- Excellent drafting analytical and communication skills.
- Ability to manage multiple priorities work independently and collaborate effectively across teams.
- Fluency in English and Arabic.
